Term Of Use

Welcome to www.TrainQuarters.com, an online platform that seeks to offer valuable educational contents and other services (the “Platform”). These Terms of Use (“Terms”) are between you and ST Hub Limited (“we” “us” “ours” “ST Hub”) and they apply to all activities on the Platform.  

Either as a visitor, registered user or instructor, you are advised to read these Terms along with our Privacy Policy and any other document incorporated by reference in these Terms before using the Platform. If you are an instructor, you must agree to the Instructor Agreement in addition to these Terms.  

By using this Platform, you accept and agree to be bound and abide by these Terms, our Privacy Policy and any other applicable document incorporated by reference in these Terms. 

1. Access to the Platform

1.1 The use of the Platform is intended solely for persons who are 18 years or older. Any access to or use of the Platform by anyone person under 18 years is expressly prohibited. By accessing or using the Platform you represent and warrant that you are 18 years or older. 

1.2 You may require an account for most activities on this Platform. When setting up and maintaining your account, you must provide and continue to provide accurate and complete information, including a valid email address. You have complete responsibility for your account and everything that happens on your account, including for any harm or damage (to us or anyone else) caused by someone using your account without your permission. This means you need to be careful with your password. You shall not transfer your account to someone else or use someone else’s account without their permission. If you contact us to request access to an account, we will not grant you such access unless you can provide us with the login credential information for that account. In the event of the death of a user, the account of that user will be closed. 

1.3 If you share your account login credential with someone else, you are responsible for what happens with your account and we will not intervene in disputes between users/students or instructors who have shared account login credentials. You must notify us immediately upon learning that someone else may be using your account without your permission (or if you suspect any other breach of security) by contacting us. We may request some information from you to confirm that you are indeed the owner of your account. 

1.4 If you are an instructor, we may request you to verify your identity before you are authorized to create an account and publishes courses using our Platform or hosting your website. 

1.5 We try to ensure that the Platform is available to you at all times, though we can't promise that it will always be available or work perfectly (for example, in the case of maintenance, or a fault in the systems used to provide the Platform). These events are sometimes outside of our control. 


2. The Relationship Between ST Hub, Instructors and Students 

2.1 The Platform allows instructors to create, offer for sale, and administer courses to students or users. ST Hub is neither a course provider nor an educational institution. Instructors are not employees of ST Hub. ST Hub is not responsible for interactions between instructors and students or users, with the exception of providing the technological means through which instructors may broadcast and otherwise make available their courses. ST Hub is not liable for any disputes, claims, losses, injuries, or damage of any kind that may arise out of the instructor/student or user relationship, including but not limited to, any student or user’s reliance upon any information provided by an instructor at any time. 

2.2 We may provide instructors with the following information about students or users: (1) name (2) email address (3) time of last login (4) the instructor’s course in which the student or user has enrolled (5) country; and (6) any other additional information that may assist the instructors in providing the courses and the students or users consent to our providing the instructors with such additional information. ST Hub does not disclose any other information about students or users to instructors, and students or users assume full responsibility for the disclosure and use of any other personal information the student or user chooses to disclose to any instructor or other user on the Platform, which at all times shall be subject to the terms of our Privacy Policy. 

3. Rules 

3.1 You must not share your password, pin or any other security detail for accessing the Platform with any person or use the Platform in any unlawful manner or in contravention of any term of your agreement with us or applicable local or national/international laws or regulations. 

3.2 You must not access or use the Platform or create an account for unlawful purposes. 

3.3 Don’t post or submit anything that is not yours. In addition, you must not as a student or user create derivative works from the courses; rent, lease, sub-license, loan, translate, merge, adapt, vary or modify the courses; make alterations to, or modifications of, the course contents.  

3.4 If you are an instructor, you can submit courses for publication on the Platform or publish courses on your website or personal page. You can also communicate with the students who have enrolled in your courses. In all cases, you must abide by the law and respect the rights of others: you cannot post any course, question, answer, review or other content that violates applicable local or national laws or regulations. You are solely responsible for any courses, content, and actions you post or take via the Platform as well as your website and their consequences. Make sure you understand all the copyright restrictions set forth in the Instructor Agreement before you publish any course via the Platform or on your website. 

3.5 If you are a student or user, you shall not download or copy video content (free or paid) and you shall not allow third parties to use your account to download or copy video content from the Platform. 

3.6 You must not use the Platform, your account or website associated with the Platform for unauthorised mass-communications, commonly referred to as “spam” or “junk mail”.  

3.7 You must not use the Platform or your account or website that is linked to the Platform to knowingly send, upload, or in any other way transmit data that contains any form of virus or other malware, or any other code designed to adversely affect computer hardware, software or any data of any kind. 

3.8 You must not use the Platform or your account or website that is linked to the Platform in any way, or for any purpose, that is intended to harm any person or persons in any way.

3.9 Either as a student, instructor or user of the Platform you must not create, submit, communicate, link to, or otherwise do anything on the Platform or your website that is linked to the Platform that: 

a) is sexually explicit; 
b) is obscene, deliberately offensive, hateful, or otherwise inflammatory; 
c) promotes violence; 
d) promotes or assists in any form of unlawful activity; 
e) discriminates against, or is in any way defamatory of, any person, group or class of persons, race, sex, religion, nationality, disability or age;  
f )is intended or otherwise likely to threaten, harass, annoy, alarm, inconvenience, upset, or embarrass another person; 
g) is calculated or otherwise likely to deceive; 
h) is intended or otherwise likely to infringe (or threaten to infringe) another person’s right to privacy or otherwise uses their personal data in a way that you do not have a right to; 
i) misleadingly impersonates any person or otherwise misrepresents your identity or affiliation in a way that is calculated to deceive; 
j) implies any form of affiliation with ST Hub where none exists; 
k) infringes, or assists in the infringement of, the intellectual property rights (including, but not limited to, copyright, patents, trademarks and database rights) of any other party; or 
l) is in breach of any legal duty owed to a third party including, but not limited to, contractual duties and duties of confidence.

3.10 We reserve the right to suspend or terminate your account on the Platform or stop hosting your website if you breach the provisions of clause 3.8 or any of the other provisions of these Terms. Specifically, we may take one or more of the following actions: 

a) suspend, whether temporarily or permanently, your account and/or your right to access our Platform; 
b) remove any of your courses or comments (or any part thereof) which violates these Terms; 
c) issue you with a written warning; 
d) take legal proceedings against you for reimbursement of any and all relevant costs on an indemnity basis resulting from your breach; 
e) take further legal action against you as appropriate; 
f) disclose such information to law enforcement authorities as required or as we deem reasonably necessary; and/or 
g) any other actions which we deem reasonably appropriate (and lawful).

3.11 We hereby exclude any and all liability arising out of any actions (including, but not limited to, those set out above) that we may take in response to breaches of these Terms. 

4. Licences and Permissions 

4.1 Rights to content: 

The content you post as a student or instructor (including courses) remains yours. By posting courses and other content, you allow ST Hub to reuse and share it, but you do not lose any ownership rights you may have over your content. If you are an instructor, be sure to understand the course licensing terms that are detailed in the Instructor Agreement. 
When you post comments, questions, reviews, and when you submit to us ideas and suggestions for new features or improvements, you authorize us to use and share this content with anyone, distribute it and promote it on any platform and in any media, and to make modifications or edits to it as we see fit. In legal language, by submitting or posting content on or through the Platform or websites or accounts linked to the Platform, you grant us a worldwide, non-exclusive, royalty-free license (with the right to sublicense) to use, copy, reproduce, process, adapt, modify, publish, transmit, display, and distribute your content in any and all media or distribution methods (existing now or later developed). This includes making your content available to other companies, organizations, or individuals who partner with ST Hub for the syndication, broadcast, distribution, or publication of content on other media. You represent and warrant that you have all the rights, power, and authority necessary to authorize us to use any content that you submit.  

4.2 Using our Platform 

The Platform enables anyone anywhere to create and share educational courses or content. We do not review or edit the courses or content for legal issues, and we are not in a position to determine the legality of courses or content. We do not exercise any editorial control over the courses that are available on the Platform or websites that are linked to the Platform and, as such, do not guarantee in any manner the reliability, validity, accuracy or truthfulness of the courses or contents. If you enroll for a course, you rely on any information provided by an instructor at your own risk.  

By using the Platform or accessing websites linked to the Platform, you may be exposed to contents or courses that you consider offensive, indecent, or objectionable. We have no responsibility to keep such contents or courses from you and no liability for your access or enrollment in any course, to the extent permissible under applicable law. This also applies to any courses relating to religion, health, wellness and physical exercise. You acknowledge the inherent risks and dangers in the strenuous nature of these types of courses, and by enrolling in such courses, you choose to assume those risks voluntarily, including risk of illness, bodily injury, disability, or death. You assume full responsibility for the choices you make before, during and after your enrollment in a course. 

When you interact directly with a student or an instructor, you must be careful about the types of personal information that you share. We do not control what students or instructors do with the information they obtain whilst using the Platform. You should not share your personal information for your safety.  

We do not hire or employ instructors nor are we responsible or liable for any interactions involved between instructors and students or other users of the Platform. We are not liable for disputes, claims, losses, injuries, or damage of any kind that might arise out of or relate to the conduct of instructors or students/users.  

When you use our Platform, you will find links to other websites that we don’t own. We are not responsible for the content or any other aspect of these third-party sites, including their collection of information about you. You should also read their terms and conditions and privacy policies. 

4.3 ST Hub Rights

All right, title, and interest in and to the Platform, including our website, others services, our existing or future applications, our APIs, databases, and the content our employees or partners submit or provide through our Platform  (but excluding content provided by instructors and students) are and will remain the exclusive property of St Hub and its licensors. Our Platform and services are protected by copyright, trademark, and other laws. Nothing gives you a right to use ST Hub’s name or any of its trademarks, logos, domain names, and other distinctive brand features. Any feedback, comments, or suggestions you may provide regarding Platform or our services is entirely voluntary, and we will be free to use such feedback, comments, or suggestions as we see fit and without any obligation to you. 
You may not do any of the following while accessing or using the Platform or any of our services: 

a) access, tamper with, or use non-public areas of the Platform, ST Hub’s computer systems, or the technical delivery systems of ST Hub’s service providers. 
b) disable, interfere with, or try to circumvent any of the features of the Platform related to security or probe, scan, or test the vulnerability of any of our systems. 
c) copy, modify, create a derivative work of, reverse engineer, reverse assemble, or otherwise attempt to discover any source code of or content on the Platform or any of our services. 
d) copy, download or otherwise attempt to acquire any part of our Platform. 
e) access or search or attempt to access or search our Platform by any means (automated or otherwise) other than through our currently available search functionalities that are provided via our website, mobile apps, or API (and only pursuant to those API terms and conditions). You may not scrape, spider, use a robot, or use other automated means of any kind to access our Platform or services. 
f) in any way use our Platform or services to send altered, deceptive, or false source-identifying information (such as sending email communications falsely appearing as St Hub); or interfere with, or disrupt, (or attempt to do so), the access of any user, host, or network, including, without limitation, sending a virus, overloading, flooding, spamming, or mail-bombing the Platform or services, or in any other manner interfering with or creating an undue burden on the Services. 

5. Disclaimer, Revisions and Corrections

5.1 All contents on the Platform are provided 'as is'. ST Hub makes no warranties, expressed or implied, and hereby disclaims and negates all other warranties, including without limitation, implied warranties or conditions of merchantability, fitness for a particular purpose, or non-infringement of intellectual property or other violation of rights. Furthermore, ST Hub does not warrant or make any representations concerning the accuracy, likely results, or reliability of the use of contents on the Platform or otherwise relating to such contents or on any sites linked to the Platform.  

5.2 The contents on Platform could include technical, typographical, or photographic errors. ST Hub does not warrant that any of the contents on its web site are accurate, complete, or current. ST Hub may contact the content provider or user that uploaded the content to make changes to the content uploaded on the website at any time without notice. ST Hub does not, however, make any commitment to update the contents. 

6. Fees and Refund 

ST Hub may charge instructors fees to access certain features and functionalities of the Platform. In turn, instructor may charge students or users certain fees for access to their respective courses and depending on how Instructors choose to process payment of those fees, a transaction fee, may be charged.  

Each instructor shall pay to ST Hub all fees and charges incurred through its respective account. As an instructor, if you set up a recurring payment plan, such payment plans are set to automatically charge at the beginning of each billing period unless you submit a cancellation request to us in writing via email.   

If you provide credit or debit card information to pay for the fees you owe ST Hub, you represent and warrant that you are authorized to supply such information and authorizes ST Hub or the instructor to charge that payment method on a regular basis to pay the fees as they come due.  

The payment terms for each course are determined by the instructor providing that course. Accordingly, student or users are advised to read the terms and conditions of each course before making payment as ST Hub will not be involved in the payment or refund process between instructors and students or users. 

7. Notice of Claimed Infringement 

If you believe in good faith that any content on our Platform has been used in a manner that infringes a copyright that you own or control, you may send a timely notice of claimed infringement containing the following information: 

a) A physical or electronic signature of the copyright owner, or person authorized to act on its behalf; 
b) A description of the copyrighted work that you claim has been infringed upon; 
c) A description of where the material that you claim is infringing is located on our Platform, the easiest way being by providing us with the URL(s) leading directly to the allegedly infringing content; 
d) Your mailing address, telephone number, and email address; 
e) A statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law; 
f) A sworn affidavit, that the information contained in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf. 

For claims of trademark infringement, send a notice containing the preceding information as applicable to your trademark or service mark, including the mark, registration number if applicable, basis for your trademark claim, jurisdiction in which you claim trademark rights, and class of goods or services and accompanying description for which you assert trademark rights. Please note that a copy of your notice will be sent to the party who posted the content you report as infringing. 

Counter Notification 

If we remove your content in response to a notice of claimed infringement, we will notify you and offer to provide you with a copy of such notice. If you believe your content was wrongly removed due to a mistake or misidentification of the content, you may submit a timely counter notification to that includes the following information: 

●Your physical or electronic signature; 
●Identification of the content that has been removed or to which access has been disabled and the location at which the content appeared before it was removed or access to it was disabled; 
●A sworn affidavit that the content was removed or disabled as a result of mistake or misidentification of the content to be removed or disabled; and 
●Your name, mailing address, telephone number, and email address. 

Upon receiving an effective counter notification, St Hub will promptly forward it to the reporting party. If the reporting party fails to notify ST Hub within ten (10) business days that it has filed an action seeking a court order to restrain you from engaging in the allegedly infringing activity, ST Hub will consider, in our sole discretion, restoring eligible content to the Platform. 
Our policy is to remove any content posted to the Platform by any instructor, student or user for whom ST Hub has received more than two takedown requests. ST Hub has discretion, however, to terminate any account and/or access to the Platform or services after receipt of a single notification of claimed infringement, or in St Hub’s sole discretion.


8. Limitation of Liability  

The Platform is for personal use. You may not use the Platform for commercial, business or resale purposes, and we have no liability to you for any loss of profit, loss of revenue, loss of business, business interruption, or loss of business opportunity. We also have no liability to you for any damage or alteration to your equipment including your devices as a result of use of the Platform. 

ST Hub does not provide financial advice. You should not rely on information, content or materials on the Platform as the sole basis for making a financial decision. You should use your own judgment and seek professional advice if appropriate. Accordingly, you agree that we are not responsible or liable to you for: 

a) any action (or inaction) resulting from use of or reliance on information, content and materials displayed on the Platform (or any loss or damage you suffer as a result); 

b) third party sites or services/products linked to or accessed from the Platform (or your use of, or reliance on, those sites or services); or 

c) any dealings you have with third parties. 

Our responsibility 

We shall have no liability to you under or in connection with these Terms of Use or your use of the Platform (whether in contract, tort (including negligence) or any other cause) except as set out below. In the event that we are liable to you in relation to the Platform and it relates to us not having met our obligations under the applicable law to protect your information or keep it secure, or it relates to any obligation under the applicable law that we cannot exclude (or limit, to the extent that it cannot be limited), then we accept that liability in full as required by the law; or it relates to any other cause (regardless of the form of the action or timing) then we will only be liable to you for loss or damage that you personally suffer that is a foreseeable result of all such causes up to a maximum of N500 (Five Hundred Naira) in total.  

We are not responsible or liable if the relevant cause arises from your breach or action/inaction (such as your fraud or us following your instructions), events outside of our control, or the need to comply with our legal obligations. 

Your responsibility 

You agree to indemnify fully, defend (if we so request), and hold harmless ST Hub, and its officers, directors, partners, and agents from and against any third-party claims, demands, losses, damages, or expenses (including reasonable attorney fees) arising from (a) the content you post or submit, (b) your use of the Platform (c) your violation of these Terms of Use, or (d) your violation of any rights of a third party including but not limited to your infringement on the intellectual property rights of third parties. Your indemnification obligation will survive the termination of these Terms and your use of the Platform. 

9. Termination, Suspending and Stopping Your Use of The Platform 

9.1 By Us

We may suspend or end your use of the Platform at any time. We will usually inform you when this happens, but we can't always do so. We might suspend or end your use of the Platform: 

a) if you breach the Terms of Use;  

b) if you fail to pay your monthly or annual subscription fees as an instructor; 

c) in the event we are unable to identify you or authenticate your identity; or 

d) in other circumstances where we believe that there is a valid reason (such as for risk or fraud management, or at your request if you suspect fraud or unauthorised access of your account).  

We have no obligation to resume, or to re-activate your access to the Platform, if suspended. If we permanently end your use of the Platform: (a) the rights granted to you in these Terms of Use ends, and (b) you must stop use of the Platform and destroy every content downloaded from the Platform whether in electronic format or prints. 

If we suspect that that the security of the Platform has been breached, or we suspect unauthorised or fraudulent use of the Platform, then we may suspend its use. If we do this, then we will (if the law permits) try to contact you (normally by email) to let you know. 
We may also need to limit, block or stop your usage of the Platform if we are required to do so by law. You agree to provide us with information that we may request in order for us to carry out necessary checks. 

9.2 By You 
  
You may stop your use of the Platform at any time. Doing so will not automatically delete your information that we hold. However, please note that we will hold your information for a maximum period of 30 days from the date you stop using the Platform. During the 30 days period, you can access your account to download and save all your information including but not limited to documents or course materials. Upon expiration of the 30 days, we will delete all your information and we shall not be liable to you for any loss you may suffer. If you wish to delete all your information immediately you stop using the Platform, you can contact us at [email protected] and we can delete it for you. When your user information is deleted, we will continue to hold certain information about you and your use for as long as it is required to enable us to comply with legal requirements, and for operational reasons such as issue resolution, complaint handling and “Know Your Customer” regulation.  

10. Changes to these Terms of Use  

We may change these Terms of Use at any time and will inform you of a change either (i) through the Platform, when next you visit; or (ii) by e-mail. The new terms may be displayed on-screen and you may be asked to read and accept them to continue your use of the Platform. If these changes materially impact you or materially changes your experience, we will strive to inform you through our regular channels of the new terms. 

11. Contacting Us 

We will normally contact you using the email address which you used when creating your account. We will do this to keep you informed of matters relevant to the Platform, where we need to in order to comply with our legal obligations - further details are shown in our Privacy Policy.  

Please remember to tell us if your details change. If we discover or suspect fraud or a security threat, we will need to contact you. Equally, for security reasons, we may block your use of the Platform if we are unable to contact you or don't receive a response when we try to do so. You have the right to receive a copy of these Terms of Use – we will send this to you by email if you request for it.

12. Other Important Terms 

We may transfer our rights and obligations under these Terms of Use to another organisation, but this will not reduce your rights. You shall not transfer your rights or obligations to another person. 

If we fail to insist that you perform any of your obligations, or if we do not enforce our rights against you, or if we delay in doing so, that will not mean that we have waived our rights against you and will not mean that you do not have to comply with those obligations. Any waiver would need to be given by us in writing.  

Each of the conditions of these Terms of Use operates separately. If any court or competent authority decides that any of them are unlawful or unenforceable, the remaining conditions will remain in full force and effect. 

Please note that these Terms of Use, their subject matter and formation, are governed by the Laws of the Federal Republic of Nigeria. You and ST Hub both agree that the High Court of Lagos State will have exclusive jurisdiction over any matter arising from or connected to the Platform and these Terms. 

These Terms of Use, Instructor Policy and our Privacy Policy are drawn up in the English language. All written communications between you and us relating to these Terms of Use and our Privacy Policy are to be in English.
