Instructor Terms

When you decide to publish your course on www.trainquarters.com/marketplace, you agree to abide by these Instructor Terms ("Terms"). These Terms cover details about the aspects of the marketplace relevant to instructors and are incorporated by reference into our Terms of Use, the general terms that govern your use of our marketplace and related services.  

As an instructor, you are contracting directly with ST Hub Limited (a limited liability company, registered under the Laws of the Federal Republic of Nigeria referred to below as “ST Hub”). 

1.  Instructor Obligations 

As an instructor, you are responsible for all content that you post, including lectures, quizzes, practice tests, assignments, resources, answers, course landing page content, and announcements ("Submitted Content"). 

You represent and warrant that: 

●You will provide and maintain accurate account information; 

●You own or have the necessary licenses, rights, consents, permissions, and authority to authorize ST Hub to publish your Submitted Content in the marketplace as specified in these Terms and the Terms of Use; 

●you will not allow third-parties to leverage on your account to publish their courses or content on the marketplace; 

●your Submitted Content will not infringe or misappropriate any third party's intellectual property rights; 

●you have the required qualifications, credentials, and expertise (including education, training, knowledge, and skill sets) to teach and offer the services that you offer through your Submitted Content and use of the marketplace; and 

●you will respond promptly to Students and ensure a quality of service that corresponds with the standards of your industry in general. 

You also warrant that you will not: 

●post or provide any inappropriate, offensive, racist, hateful, sexist, pornographic, false, misleading, incorrect, infringing, defamatory or libellous content or information; 

●post or transmit any unsolicited or unauthorized advertising, promotional materials, junk mail, spam, or any other form of solicitation (commercial or otherwise) through the marketplace or your website; 

●use the marketplace or your website for no other business other than providing tutoring, teaching, and instructional services to students or users; 

●engage in any activity that would require us to obtain licenses from or pay royalties to any third party, including the need to pay royalties for the public performance of a musical work or sound recording; 

●impersonate another person or gain unauthorized access to another person's account; 

●interfere with or otherwise prevent other Instructors from providing their services or courses; or 

●abuse ST Hub resources, including support services. 

 

2.  License to ST HUB 

You grant ST Hub the rights detailed in the Terms of Use to offer, market, and otherwise exploit your Submitted Content, directly or through third parties. This includes the right to add captions or otherwise modify content to ensure accessibility. 

Unless otherwise agreed, you have the right to remove all or any portion of your Submitted Content from the marketplace at any time. However, rights given to students before the Submitted Content's removal will continue in accordance with the terms of those licenses (including any grants of lifetime access) and ST Hub right to use such Submitted Content for marketing purposes shall survive termination. 

In addition to the above, we reserve the right to remove courses, suspend and/or ban instructors from the marketplace for any reason at any time, without prior notice, including in cases where: 

●an instructor or course does not comply with our policies or legal terms (including the Terms of Use); 

●you allow third parties that are not registered as Instructors with ST Hub to circumvent our process by publishing their courses on the marketplace through your account; 

●a course falls below our quality standards or has a negative impact on the student experience; 

●an instructor engages in behaviour that might reflect unfavourably on ST  Hub or bring ST Hub into public disrepute, contempt, scandal, or ridicule; 

●an instructor engages the services of a marketer or other business partner who violates ST Hub’s policies; or 

●ST Hub determines in its sole discretion to do so. 

 

We may use all or any part of your Submitted Content for quality control and for marketing, promoting, demonstrating, or operating the marketplace. You grant ST Hub permission to use your name, likeness, voice, and image in connection with offering, delivering, marketing, promoting, demonstrating, and selling the services on the marketplace, your Submitted Content, or ST Hub content, and you waive any rights of privacy, publicity, or other rights of a similar nature, to the extent permissible under applicable law. 

3. Relationship to Other Users

You agree that you will not use the data you receive for any purpose other than providing your services to those students on the marketplace and that you won't solicit additional personal data or store students' personal data outside the marketplace. You agree to indemnify, defend, and hold harmless ST Hub from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation or breach by you or arising from or related to your use or misuse of student or user information or any other information obtained via the marketplace. 

Instructors are not ST Hub employees. Instructors have the authority to decide, among other things, how to write their curricula and teach their courses (live and pre-recorded instruction, digital goods, and learning services), subject to our Terms of Use, Privacy Policy, and this Instructor Policy. Instructors are paid their course registration fees according to their selected payment preferences and are not entitled to any compensation in addition to their registration fees, including without limitation, a salary or other employment benefits. This relationship is at-will and may be terminated by either you or us at any time, for any reason or for no reason, with or without notice. Your continued use of the marketplace and access to the marketplace or services offered on the marketplace, including your ability to teach or administer your courses, is subject to your adherence to ST Hub’s Terms of Use and this Instructor Policy and ST Hub may terminate your ability to use the marketplace or any services offered via the marketplace at any time. 

You acknowledge and agree that you do not have any exclusive claim to a particular topic or curriculum by offering a particular past or present course through the marketplace, that you will interact, if at all, with other instructors in a professional manner, and that at no time may you interfere with or otherwise prevent other Instructors from providing their courses. 

4. Pricing, Payment and Refunds

4.1 Payment for use of the marketplace and Consideration for Exploiting Submitted Content. 

There shall be no fee associated with submitting your course on the marketplace asides the statutory fee registration fee paid for use of the TrainQuarters platform.

** However a 30% commission is due to TrainQuarters on revenue generated from each course sale.

The 70% revenue due to the course creators will be paid at the end of every month to the Bank Account submitted.

In the event that a TrainQuarters.com account is inactive, submitted courses on marketplace and revenue accrued will still be due to course creators. However, course creators would not be able to make any changes whatsoever to the course nor be able to unpublish the course. To unpublish a course from an inactive account, course creators will be required to send an instruction to this effect via email to our support team on [email protected]

 

As indicated in the Terms of Use and these Terms, you grant ST Hub a world-wide non-exclusive right to use your Submitted Content including but not limited to making your Submitted Content available to third parties. ST Hub may provide your Submitted Content for free in order to promote your Submitted Content and use of the marketplace. However, if ST Hub receives consideration from any third party that it provides your content to, ST Hub shall pay you a fee for exploiting your Submitted Content.  

 

 

4.2 Payment for Courses and Refund to Students or Users

Instructors may offer courses free of charge, or a one-time purchase. Instructors are solely responsible for determining the prices charged for their respective courses. 

Instructors undertake to remit all taxes from any fees they may earn from providing courses on the marketplace. You agree to indemnify, defend, and hold harmless ST Hub from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from your failure to remit the taxes or your relationship with third party payment gateway provider.  

4.3 Refunds

While our 30-day refund policy is in place to protect students, we must also protect our course creators from fraud and provide them with a reasonable payment schedule. 

Payments are sent to the course creators after 30 days, so we will not process refund requests received after the refund window.

If all course content was downloaded before the refund was requested, the refund request may be rejected. Finally, students who purchase and refund multiple courses over an extended period may be subject to suspension for abuse of the refund policy.

 

 

5. Use of TrainQuarters Technology

5.1 ST Hub technology and services are provided “as is”. ST Hub makes no representations or warranties, express or implied, that our technology or the services we have agreed to provide to you, will result in profitability or assist you to meet any projected or defined financial performance criteria except as expressly contained in this Instructor Policy.  

6. Unpublishing a Course

Course creators may unpublish a course on the marketplace at any time. Doing so will not automatically delete your information that we hold. 

 

7. Miscellaneous Legal Terms

7.1 Updating These Terms 

From time to time, we may update these Terms to clarify our practices or to reflect new or different practices (such as when we add new features), and ST Hub reserves the right in its sole discretion to modify and/or make changes to these Terms at any time. If we make any material change, we will notify you using prominent means such as by email notice sent to the email address specified in your account or by posting a notice on our marketplace. Modifications will become effective on the day they are posted unless stated otherwise. 

Your continued use of our marketplace after changes become effective shall mean that you accept those changes. Any revised Terms shall supersede all previous Terms. 

7.2 Relationship Between Us

You agree that no joint venture, partnership, employment, contractor, or agency relationship exists between us. 

7.3 Survival

Sections 2, 3, 4, 5, 6 and 7 of these Terms shall survive the expiration or termination of these Terms.
